Annual Reports for Estonian Companies

A quick intro

Every Estonian company must submit an annual report for each financial year, even if the company had no sales, expenses or other business activity.

E-Resident Store can prepare and submit the annual report for both ongoing accounting clients and companies that need the service separately.

What is an annual report?

In general

The annual report provides an official overview of the company’s financial position and activity for the financial year.

Depending on the company, it typically contains:

  • financial statements;

  • balance sheet;

  • income statement;

  • notes and disclosures;

  • management information required by law.

Profit & Dividend

The annual report also shows whether the company has sufficient distributable profit and how much may be paid to the owner(s) as dividends for the previous financial year.

Share capital registration

As an additional benefit, we register the paid-in share capital with the Estonian Tax and Customs Board. This ensures that the contribution is properly recorded and may allow the owner to recover the corresponding amount tax-free if the company is later liquidated, subject to applicable tax rules.

How much does it cost?

Annual report for dormant company €199

Includes up to 2 hours of service time. Available only for companies with no business activity, investments or shareholdings during the financial year. One bank account statement is permitted, provided it contains only interest, bank fees, Sunio invoices and related payments.

Annual report for active company €299

Includes 3 hours of service time. Applicable for companies that were generating revenue, had incurring costs, or were actively managing their investments (assets, cryptocurrencies, or securities) during the past year.

Service scope

Before the annual report can be prepared, the company’s bookkeeping must be completed and its tax records reviewed. These tasks, together with the preparation of the annual report, must fit within the included 2 or 3 hours of service time, depending on the selected service.

Additional costs

If the company’s activity is more extensive and additional work is required, Sunio will charge €60 per additional hour based on the estimated workload and the actual time spent.
If the company meets the statutory thresholds requiring an audit or review, auditor fees and any additional accounting or support services required for the audit or review will be charged separately.

Does an inactive company need an annual report?

Yes.

A company that had no business activity during the year is still required to submit its annual report.

When is the annual report due?

The annual report is due within six months after the end of the financial year.

For a company whose financial year ends on 31 December, this means 30 June.

By default, Sunio sets the company’s financial year to start on the first day of its incorporation month. This helps postpone the need to prepare the first annual report, giving the company a longer initial reporting period.

Is the annual report included in my plan?

Annual report preparation is included for customers on the Lite, Advanced and Advanced+ plans after at least 12 months of continuous subscription.

It can also be purchased as a stand-alone service.

What do we need from you?

We may need:

  • bank and payment account statements;

  • sales and purchase documents;

  • transaction reports from platforms

  • information about assets and liabilities;

  • loan agreements;

  • payroll information;

  • confirmations of outstanding balances;

  • other documents relevant to the financial year.
